If you are accessing the Service on behalf of an institution (such as a school), you represent and warrant that you have the authority to bind that institution to these Terms.

You represent and warrant that you have all necessary rights to upload the content and that it does not infringe upon any intellectual property or privacy rights. Manifest Education reserves the right to remove any content that violates these Terms or is deemed inappropriate.

Payment Terms
Manifest Education offers subscription-based services with paid tiers. By subscribing to a paid plan, you agree to the pricing, billing, and cancellation terms outlined during the registration process.
Payments are processed through third-party payment processors (e.g., Stripe). Manifest Education does not store your payment information; it is securely handled by the payment processor in accordance with applicable standards.
Subscription fees are non-refundable except as required by law. Auto-renewal will occur unless you cancel your subscription prior to the renewal date.

Third-Party Integrations and Links
The Service may contain links or integrations with third-party platforms (such as K-12 LMS systems like Google Classroom, Schoology, and Canvas) or other external services. These links are provided solely for your convenience and do not imply any endorsement by Manifest Education.
Your interactions with any third-party services are governed by the respective terms of those services. Manifest Education is not responsible for the content or privacy practices of any third-party site or service.

Intellectual Property
All content, features, and functionality provided through the Service, including software, graphics, logos, and designs, are the property of Manifest Education or its licensors and are protected by intellectual property laws.
You are granted a limited, non-transferable, non-exclusive license to access and use the Service for its intended educational purposes. No rights are transferred to you beyond those expressly provided in these Terms.

Warranty Disclaimer
The Service is provided on an "as is" and "as available" basis without any warranties, express or implied. Manifest Education disclaims all warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement.
Manifest Education does not guarantee that the Service will be error-free, uninterrupted, or secure, or that any defects will be corrected.

Limitation of Liability
To the fullest extent permitted by applicable law, Manifest Education shall not be liable for any indirect, incidental, special, consequential, or punitive damages or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising out of or in connection with your access to or use of the Service.
In no event shall the aggregate liability of Manifest Education exceed the fees paid by you for the Service during the twelve (12) months preceding the claim.

Indemnification
You agree to indemnify, defend, and hold harmless Manifest Education, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, violation of these Terms, or infringement of any rights of a third party.

Termination
Manifest Education reserves the right to suspend or terminate your access to the Service, without prior notice, for any conduct that Manifest Education deems in violation of these Terms or harmful to the Service or its users.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including those relating to intellectual property, warranty disclaimers, limitation of liability, and indemnification) shall remain in effect.

Dispute Resolution and Governing Law
Any disputes arising out of or related to these Terms or your use of the Service shall be resolved primarily through binding arbitration in accordance with the rules of the American Arbitration Association. Notwithstanding the arbitration provision, either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property infringement.
These Terms shall be governed by and construed in accordance with the laws of the state in which Manifest Education is headquartered, without regard to its conflict of law principles. You agree to waive any right to a class action and to participate only in individual disputes.

Miscellaneous Provisions
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Manifest Education regarding your use of the Service.
Waiver: Any failure by Manifest Education to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment: You may not assign or transfer these Terms, in whole or in part, without Manifest Education's prior written consent.

Feedback
Any feedback, ideas, or suggestions you provide regarding the Service ("Feedback") are non-confidential and become the sole property of Manifest Education. By submitting Feedback, you grant Manifest Education a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service.
15.
Changes to These Terms
Manifest Education reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
It is your responsibility to review these Terms periodically for any updates.
